Hereinafter referred to as “CargoNXT,” “we,” “us,” or “our.”

2. Scope

These Terms and Conditions govern access to and use of the CargoNXT website, applications, transportation marketplace and associated services.

CargoNXT can be used by private customers, business customers, transportation companies, fleet operators, drivers and eligible independent transport providers.

Additional conditions may apply to specific services and will be communicated where applicable.

3. Role of CargoNXT

CargoNXT primarily operates a digital platform facilitating the connection between persons or companies seeking transportation services (“Shippers”) and independent transportation providers (“Transport Providers”).

Unless expressly stated otherwise, CargoNXT does not itself perform the physical carriage of goods.

The contract concerning the actual transportation of cargo may therefore be concluded between the Shipper and the Transport Provider accepting the relevant shipment.

The identity and contractual role of the applicable Transport Provider shall be communicated through the booking process where legally required.

4. Registration and Guest Bookings

Certain CargoNXT functionality requires a registered account.

Eligible transportation requests may also be submitted through Guest Checkout where this functionality is offered.

Users must provide complete and accurate information.

Account holders are responsible for maintaining the confidentiality of their login credentials and must notify CargoNXT promptly if unauthorized account access is suspected.

5. Shipment Requests

Shippers can request transportation by providing information including, where applicable:

• Pickup location
• Delivery location
• Cargo type
• Dimensions
• Weight
• Number of pallets
• Loading meters
• Full Truck Load requirements
• Required vehicle characteristics
• Pickup and delivery instructions
• Relevant contact information
• Other information necessary for transportation

The Shipper is responsible for ensuring that the information submitted is complete and accurate.

6. Pricing

Prices displayed through CargoNXT are calculated or presented based on the shipment information available at the time of the request.

Pricing may depend on distance, route, dimensions, weight, pallet quantity, loading meters, vehicle requirements, service type and other operational factors.

If the information supplied by the Shipper is incorrect or subsequently changed, additional charges may apply where contractually and legally permitted.

Any applicable taxes, fees or additional charges will be displayed or communicated as required.

7. Acceptance of Transportation Requests

Available shipment opportunities may be made available to eligible Transport Providers.

A shipment becomes assigned when it has been validly accepted in accordance with the applicable CargoNXT booking process.

Where multiple Transport Providers have access to the same opportunity, acceptance may operate on a first-valid-acceptance basis.

CargoNXT does not guarantee that a Transport Provider will be available for every shipment request.

8. Obligations of Shippers

The Shipper is responsible for:

• Providing accurate shipment information
• Correctly describing the cargo
• Providing accurate dimensions and weight
• Ensuring appropriate packaging
• Providing legally required documentation
• Providing safe and accessible pickup and delivery locations
• Informing the Transport Provider about special handling requirements
• Disclosing dangerous or regulated goods where transportation is permitted
• Complying with applicable laws and regulations

9. Prohibited and Restricted Goods

Users must not request transportation of goods prohibited by applicable law.

Certain goods may require prior approval, specialist transportation, documentation or regulatory compliance.

These may include dangerous goods, hazardous materials, weapons, illegal substances, controlled substances, live animals, high-value goods, temperature-controlled products or other regulated cargo.

CargoNXT or the Transport Provider may reject transportation where legal or operational requirements are not satisfied.

10. Transportation Providers

Transport Providers using CargoNXT are responsible for maintaining all licences, registrations, authorisations, insurance and other requirements necessary to legally perform their transportation activities.

Transport Providers are responsible for the vehicles and personnel used to execute accepted transportation services.

11. Fleet and Driver Management

Transportation companies may register and manage drivers and vehicles through CargoNXT.

The transportation company remains responsible for its personnel, drivers, vehicles, regulatory compliance, working-time obligations, licences and insurance.

12. Independent Transport Providers

Eligible independent operators may use CargoNXT to accept transportation opportunities directly.

Such operators remain responsible for satisfying all legal, licensing, insurance and operational requirements applicable to their transportation activities.

13. Tracking and Location Data

CargoNXT may provide shipment-tracking functionality using location information received from drivers, mobile devices, vehicles or connected systems.

Tracking information is provided for operational visibility and may not always represent the exact real-time position of the cargo.

Temporary interruptions may occur due to network availability, device configuration, GPS availability or technical circumstances.

14. Pickup and Delivery

Users must ensure reasonable access to the designated pickup and delivery locations.

Additional waiting time, failed collection, failed delivery, address changes or other circumstances outside the agreed transportation scope may result in additional costs where legally and contractually permitted.

15. Proof of Delivery

Drivers or Transport Providers may submit proof of delivery through CargoNXT.

This may include photographs, documents, timestamps, signatures, recipient information or other delivery confirmation.

Digital proof of delivery may be made available to relevant parties through CargoNXT.

16. Payments

Payments may be processed using third-party payment service providers, including Stripe and Mollie.

Available payment methods depend on the relevant provider, customer location, currency and transaction.

The terms and privacy policies of the applicable payment provider may additionally apply to the payment transaction.

17. Cancellations and Refunds

Cancellation availability and applicable charges depend on the stage of the shipment and the conditions displayed during booking.

Cancellation may be restricted or subject to charges after a Transport Provider has accepted the shipment, begun travelling toward the pickup location, collected the cargo, or otherwise incurred costs.

Any applicable cancellation terms should be displayed to the Shipper before the booking is finalized.

Refunds, where applicable, will normally be processed through the original payment method.

18. Liability for Transportation

The Transport Provider performing the transportation is responsible for the physical carriage of the cargo in accordance with the applicable transportation agreement and mandatory transport law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

CargoNXT's responsibility for operation of the digital platform is separate from the Transport Provider's responsibility for the actual transportation service.

19. Platform Availability

CargoNXT aims to maintain reliable platform availability but does not guarantee uninterrupted operation.

Maintenance, security updates, technical failures, telecommunications interruptions or circumstances outside our reasonable control may temporarily affect availability.

20. User Conduct

Users must not:

• Use CargoNXT unlawfully
• Provide fraudulent information
• Manipulate pricing or booking processes
• Access another user's account without authorization
• Interfere with the platform's security or operation
• Upload malicious software
• Misuse driver or customer location information
• Use CargoNXT to arrange prohibited transportation

CargoNXT may restrict or suspend accounts where misuse, fraud, security risks or legal violations are reasonably suspected.

21. Intellectual Property

CargoNXT software, branding, interfaces, databases, designs and other protected materials remain the property of their respective rights holders.

Use of CargoNXT does not grant users ownership of any intellectual property belonging to CargoNXT.

22. Data Protection

Personal data is processed in accordance with the CargoNXT Privacy Policy and applicable data-protection law.

23. Changes to these Terms

CargoNXT may update these Terms where necessary due to legal, technical, security or operational developments.

Material changes will be communicated where required by law.

24. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, subject to mandatory consumer-protection provisions that may apply.

For consumers, mandatory rights available under the law applicable to them remain unaffected.

25. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions shall remain unaffected to the extent permitted by law.
